Led the discussions and negotiations that culminated in a joint venture agreement being entered into between Energiebau-Mali Sarl and S.Y.Capital Holdings for a new JV company “S.Y – ENERGIEBAU” for the purpose of construction and management of Solar PV plants at Prieska an agricultural and mining town in the Northern Cape province of South Africa.
ALLOCATION OF THE OBLIGATIONS
The allocation of the obligation of each Party with respect to the Services are as follows:
” S.Y. CAPITAL HOLDINGS LIMITED” will be in charge of :
– Negotiating & bringing a proper EPC contractor, with a level of balance sheet & track records adequate for the project finance structuring
– All guarantees, assets or collaterals necessary for the finance structuring
– project financing
– The full finance & technical management of the projects
– Assisting ” ENERGIEBAU ” ( Mali ) for the management of the Company .
” ENERGIEBAU-MALI SARL “ will be in charge of :
– The General Management and Operation of the Project
– All feasibility studies
– All take off agreements
– All authorisations, permits & licenses from the SOUTH AFRICAN GOVERNMENT & LOCAL AUTHORITIES .
– All contracts allowing to progress & control the designated project .
